By registering for, accessing, or using our Services, you ("Dealer," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
We reserve the right to modify these Terms at any time. All changes will be effective immediately upon posting to the Services. Your continued use of the Services following the posting of revised Terms means you accept and agree to the changes.
To use our Services, you must be a licensed automobile dealer in good standing with all applicable state and federal regulatory bodies. You must provide accurate, current, and complete information during the registration process, including but not limited to your dealer license number, business address, and contact information.
All dealer accounts are subject to verification and approval by Express Vehicle Locators. We reserve the right to deny or revoke access to any dealer at our sole discretion. Verification may include confirmation of your dealer license status with relevant state authorities.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms, without prior notice.
Access to certain features of the Services may require payment of subscription fees. All fees are non-refundable except as required by law or as explicitly stated in these Terms. Current subscription plans and pricing are available on our Service Plans page.
You agree to pay all fees in accordance with the payment terms in effect at the time a fee is due and payable. You authorize us to charge your payment method for all fees incurred.
You may upgrade, downgrade, or cancel your subscription at any time. Changes to subscriptions will take effect at the end of the current billing cycle. No refunds will be provided for the unused portion of the current billing cycle.
Express Vehicle Locators offers various service plans designed to meet different dealer needs. Details of these plans, including features, benefits, and pricing, are available on our Service Plans page. By subscribing to a specific plan, you agree to the terms and conditions specific to that plan in addition to these Terms.
Our Services provide access to vehicle listings submitted by sellers. We do not guarantee the accuracy, completeness, or quality of any vehicle listing. Dealers acknowledge that vehicle information is provided by sellers and Express Vehicle Locators is not responsible for verifying the accuracy of such information.
Dealers may submit offers on vehicles through our platform. All offers are binding and constitute a legal agreement to purchase the vehicle at the offered price if accepted by the seller. Dealers are responsible for conducting their own due diligence on vehicles before submitting offers.
If a seller accepts your offer, you agree to complete the purchase transaction in accordance with the terms of the offer and any additional terms provided by Express Vehicle Locators. Failure to complete an accepted offer may result in penalties, including but not limited to account suspension and monetary damages.
Express Vehicle Locators may charge transaction fees for completed sales. These fees will be clearly disclosed before you submit an offer and are detailed in our Service Plans page.
Dealers are responsible for inspecting vehicles before finalizing any purchase. Express Vehicle Locators does not guarantee the condition of any vehicle and is not liable for any discrepancies between the listing and the actual vehicle condition.
You agree to comply with all applicable federal, state, and local laws and regulations related to automobile sales, including but not limited to consumer protection laws, truth-in-lending laws, anti-discrimination laws, and state-specific dealer regulations.
You agree not to engage in any of the following activities:
All communications with sellers must be conducted through our platform unless explicitly authorized by Express Vehicle Locators. This ensures transparency and protects all parties involved in the transaction.
Your conduct on our platform contributes to your dealer reputation score, which may be visible to sellers and affect your ability to successfully acquire vehicles. Express Vehicle Locators reserves the right to display dealer ratings and reviews based on transaction history and seller feedback.
All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are owned by Express Vehicle Locators or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes in accordance with these Terms.

You acknowledge that vehicle information displayed on our platform may be shared with multiple dealers. You agree not to disclose this information to third parties not affiliated with your dealership.
Disclaimer of Warranties. We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability. In no event shall Express Vehicle Locators, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.
Cap on Liability. Our total liability for all claims related to the Services shall not exceed the greater of $100 or the amount you paid to us for access to the Services in the 12 months preceding the event giving rise to the liability.
Vehicle Condition. Express Vehicle Locators makes no representations or warranties regarding the condition, value, or marketability of any vehicle listed on our platform. Dealers are solely responsible for verifying vehicle condition and value before completing any purchase.
You agree to defend, indemnify, and hold harmless Express Vehicle Locators, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to any principles of conflicts of law.
Any dispute arising from or relating to these Terms or the Services shall be finally settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in Plano, Texas, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
You and Express Vehicle Locators agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
Dealers must comply with all state-specific regulations governing vehicle sales, transfers, and dealer operations in their state of business and in any state where they acquire vehicles through our platform.
Dealers are responsible for understanding and complying with all title transfer requirements in their state and any state where the vehicle is currently titled. Express Vehicle Locators is not responsible for title transfer complications arising from interstate transactions.
Dealers are solely responsible for understanding and fulfilling all tax obligations related to vehicle purchases made through our platform, including but not limited to sales tax, use tax, and dealer transfer taxes.
By providing your mobile phone number during registration or in your account settings, you consent to receive SMS notifications related to vehicle listings, offers (including outbid alerts), and account updates.
Message frequency varies based on your account activity and notification preferences. Standard message and data rates may apply.
You may opt out of SMS notifications at any time by updating your notification preferences in your account settings or by replying STOP to any SMS message from us.
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Express Vehicle Locators concerning the Services.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be struck from these Terms and the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice.
