EVL Service Agreement

⚡ What This Is: This is the document that authorizes EVL to provide advisory services on your vehicle search — market data, vehicle matching, pricing analysis, and negotiation guidance. EVL does not negotiate, purchase, or take delivery on your behalf; you use EVL's tools and guidance to handle your own negotiation and transaction directly with the dealer. This document is timestamped, stored securely, and legally binding under Texas law.
⚖️ SECTION 4 — NON-CIRCUMVENTION & LIQUIDATED DAMAGES
4.1 Non-Circumvention Agreement. Client explicitly agrees that all vehicle introductions, dealer contacts, pricing intelligence, market data, VIN information, and negotiation strategies provided by Express Vehicle Locators ("EVL") constitute proprietary advisory services. Client agrees NOT to use information provided by EVL to circumvent, bypass, or exclude EVL from any vehicle transaction for a period of twelve (12) months from the date of introduction or delivery of said information, whichever is later.
4.2 Prohibited Conduct. The following actions constitute circumvention under this Agreement:
  • Contacting any dealer, seller, or vehicle source introduced or identified by EVL without EVL's involvement in the resulting transaction
  • Using EVL-provided VIN data, market reports, or pricing intelligence to negotiate directly with a dealer identified through EVL's advisory process
  • Referring a third party to a dealer, vehicle, or opportunity identified by EVL in lieu of completing the transaction through EVL
  • Completing a vehicle purchase, lease, or trade within 12 months of receiving EVL advisory services on a specific vehicle or dealer, without EVL's involvement in the final transaction
4.3 Liquidated Damages. The Parties agree that the actual damages arising from a circumvention are difficult to ascertain with precision. Therefore, in the event of circumvention as defined in Section 4.2, Client agrees to pay EVL liquidated damages equal to the full EVL advisory fee that would have applied to the transaction, plus one hundred percent (100%) of said fee as a penalty, plus all reasonable attorneys' fees and court costs incurred by EVL in enforcing this Agreement. This liquidated damages provision is not a penalty but a reasonable estimate of EVL's actual damages, including lost advisory revenue, market intelligence costs, and opportunity cost.
4.4 Governing Law & Jurisdiction. This Agreement and any dispute arising hereunder shall be governed exclusively by the laws of the State of Texas, with exclusive jurisdiction and venue in Collin County, Texas. Any party filing a legal action against EVL that is dismissed or decided in EVL's favor shall bear 100% of EVL's reasonable attorneys' fees and court costs.
4.5 Mandatory Binding Arbitration. Prior to any litigation, the Parties agree to submit all disputes to binding arbitration in Collin County, Texas under the American Arbitration Association Commercial Rules. The arbitrator's decision shall be final and binding. This provision shall survive termination of this Agreement.
4.6 EVL Platform Neutrality. EVL provides market intelligence, data aggregation, and administrative consulting services. EVL is NOT a motor vehicle dealer, broker, auctioneer, or licensed lessor as defined under Texas Occupations Code §2301. EVL does not take title to vehicles, does not guarantee sales, and does not represent the Client in the final execution of legal transfer documents. All vehicle transactions are independent transactions between Client and the licensed dealer or private seller. Fees paid to EVL are for market research, data analysis, and advisory strategy only — never a transaction commission.

By initialing here, I confirm I have read and agree to Section 4: Non-Circumvention, Liquidated Damages, Governing Law, Mandatory Arbitration, and EVL Platform Neutrality. I understand that bypassing EVL on any introduced vehicle within 12 months will result in liquidated damages plus attorneys' fees.
This non-circumvention clause is standard practice for advisory and consulting engagements. EVL's advisory value — market data, dealer intelligence, negotiation strategy — represents proprietary work product that EVL has the legal right to protect. Questions about this section? EVL Advisory Service Agreement

This Service Agreement ("Agreement") is entered into between Express Vehicle Locators ("EVL") and the Customer identified above ("Customer"), effective upon the date of electronic execution below.

1. Scope of Services

EVL agrees to perform the advisory services selected above for Customer's benefit. This includes vehicle search, market data, pricing analysis, trade-in offer comparison, financing rate comparison, and negotiation guidance. All services are provided on a flat-fee basis. EVL earns no commission, referral fee, or compensation from any dealer, lender, or buyer.

2. Advisory Relationship Only — No Agency or Power of Attorney

EVL is not appointed as Customer's agent, attorney-in-fact, or representative, and this Agreement grants EVL no power of attorney of any kind. EVL does not negotiate on Customer's behalf, does not execute agreements on Customer's behalf, and does not have authority to bind Customer to any transaction. Customer conducts their own negotiation and completes their own transaction directly with the dealer, lender, or buyer, using the data, tools, and guidance EVL provides.

Where EVL makes informational inquiries to a dealer, wholesaler, lender, or trade-in buyer to gather pricing or inventory data on Customer's behalf, this is limited strictly to information-gathering and does not extend to negotiating terms, making offers, or accepting offers.

3. EVL's Role Is Strictly Limited

EVL may NOT, under any circumstances: (a) negotiate price, fees, financing terms, or trade-in value with a dealer, lender, or buyer on Customer's behalf; (b) execute any purchase, lease, or financing agreement; (c) transfer funds on Customer's behalf; (d) accept delivery of any vehicle; or (e) make representations about Customer's creditworthiness beyond what Customer has disclosed.

Customer handles all negotiation and deal execution directly.

4. Dealer Confidentiality

EVL will not reveal Customer's identity, contact information, or location to any dealer, lender, or buyer during the search and comparison phase. Customer's information is disclosed only at Customer's direction.

5. Service Fees

Customer agrees to pay EVL the fee for the selected service tier upon execution of this Agreement. Fees are earned upon commencement of service and are non-refundable except as provided in EVL's Refund Policy.

6. No Guarantee of Outcome

EVL makes commercially reasonable efforts to fulfill the services requested. EVL does not guarantee any specific vehicle availability, price, rate, trade-in value, or delivery timeline. Market conditions are outside EVL's control.

7. Limitation of Liability

EVL's total liability under this Agreement shall not exceed the total service fees paid by Customer. EVL is not liable for the acts or omissions of any dealer, lender, or buyer.

8. Governing Law

This Agreement is governed by the laws of the State of Texas. Any disputes shall be resolved by binding arbitration in Texas under AAA rules.

9. Electronic Signature

Customer agrees that an electronic signature, whether typed or drawn, constitutes a legally binding signature under the Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA), with the same force and effect as a handwritten signature.

10. Entire Agreement

This Agreement, together with EVL's Terms of Service and Privacy Policy, constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and understandings.
